The TOTAL ACTIONNARIAT FRANCE Fund currently represents 3% of the Total’s share capital.  65 000 employees and former employees hold units of this Fund.

The TOTAL ACTIONNARIAT INTERNATIONAL CAPITALISATION Fund is made up of more than 32 000 shareholders distributed among approximately 120 countries and represents 0.8% of the Total’s share capital.

The ELF PRIVATISATION N°1 Fund is made up of about 2 400 shareholders and represents 0.04% of Total’s share capital. This Fund was opened to the employees of the ELF AQUITAINE Group when the French State sold his ELF AQUITAINE shares. After the decision of the Supervisory Board on October 7, 1999, these shares were exchanged for TOTALFINA shares, which became TOTAL shares.

The management of each of the three Company Mutual Funds mentioned above is controlled by a dedicated supervisory board made up for 2/3 of representatives of the unitholders and for 1/3 of representatives of the Company.

The supervisory board main missions are :

• To review the fund’s management report and financial statements of the mutual fund,
• To review the financial, administrative and account management of the fund,
• To exercise the voting rights attached to the securities held in the portfolio of the fund,
• To approve a tender of the securities in the event of a takeover bid,
• To decide on merger, demerger or liquidation transactions of the fund,
• To give a prior agreement to changes of the CMF regulations, under the conditions described in the regulations.
  
  The regulations of the Company Mutual Funds provide that the decisions are made by a majority vote ; however, decisions related to a change in the regulations of the fund, the conversion or the liquidation of the fund are made by a qualified majority vote of 2/3 plus one.
   
  Supervisory Boards are renewed every 3 years. The elected members of TOTAL ACTIONNARIAT FRANCE Fund and TOTAL ACTIONNARIAT INTERNATIONAL CAPITALISATION Fund were renewed during elections organized late 2009.
