Total's General Management

On May 21, 2010, the Board of Directors decided to one again combine the functions of Chairman of the Board of Directors and Chief Executive Officer. Christophe de Margerie has been the Chairman & Chief Executive Officer of Total S.A. since that date and, as such, chairs Total's Executive Committee and Management Committee.

The decision to combine the functions of Chairman of the Board of Directors and Chief Executive Officer was the result of a review process conducted jointly with the Nominating & Governance Committee in the best interests of the Company. As a result, an effective system of checks and balances has been created, with the unified Chairman & Chief Executive Officer function on the one hand and the Board committees with their high percentage of independent directors on the other.

Since 2001, an Ethics Committee reporting to the Chairman & Chief Executive Officer has been responsible for creating conditions to help our employees embrace the Code of Conduct.

CHAIRMAN & CHIEF EXECUTIVE OFFICER

The Chairman & Chief Executive Office is both the Chairman of the Board of Directors and Total's Chief Executive Officer.
