The Strategy Committee, a future-oriented vision of Total’s business

Set up in 2011, the Strategy Committee assists the Board of Directors in determining the strategic direction of the Group’s activity to ensure its development.

Examining the Group’s strategic direction

The Strategy Committee is charged with examining the overall strategy proposed by the Chief Executive Officer of Total. It focuses on Company transactions of major importance.

It also reviews the competitive environment and the corresponding long and medium term outlook for the Group.


The Strategy Committee: composition and operations

Total’s Strategy Committee meets at least once a year and submits a written report of its work to the Board of Directors. It is made up of at least five directors appointed by the Board. Directors who are not members of the Strategy Committee may nevertheless freely attend its meetings.

The members of the Strategy Committee are:

• Anne Lauvergeon,
• Christophe de Margerie (Chairman),
• Thierry Desmarest,
• Gunnar Brock,
• Claude Mandil,
• Gérard Lamarche.

The Committee has special prerogatives:
• It may meet with the Chief Executive Officer and, where applicable, any executive vice-president of the Group.
• It may interview managers of operating and non-operating entities if it is useful to carry out its assignment.
