The Audit Committee, an essential supervisory role

et up in 2011, the Strategy Committee assists the Board of Directors in determining the strategic direction of the Group’s activity to ensure its development.

Examining Company accounts and audit procedures

The Total Group's Audit Committee performs various assignments, including:
• appointing Statutory Auditors and monitoring their control of Total's financial statements (audit and written report to the Board of Directors);
• examining the parent company's annual financial statements and the consolidated financial statements prior to their examination by the Board;
• supervising the implementation of internal control and risk management procedures;
• ensuring the effective application of these procedures with the assistance of the internal audit department;
• reviewing, if requested by the Board, major transactions contemplated by the Group.

 

The Audit Committee: composition and operations

The Audit Committee meets at least four times a year to examine the consolidated annual and quarterly financial statements.

It is made up of Marie-Christine Coisne-Roquette, Gérard Lamarche and Patricia Barbizet, appointed to serve as financial expert, who chairs the Committee.

The Committee has several prerogatives:
• It may meet with the Chairman of the Board and Chief Executive Officer and, if applicable, any executive vice-president of the Group.
• It may also perform inspections and consult with managers of operating or non-operating departments, as may be useful in carrying out its assignments.
